1. Interpretation and Definitions

1.1 Interpretation

Words with an initial capital letter have specific meanings defined below. These definitions apply whether used in singular or plural form.

1.2 Definitions

For the purposes of these Terms and Conditions:
  • Affiliate: An entity that controls, is controlled by, or is under common control with a party. “Control” means ownership of 50% or more of voting shares, equity, or the power to direct management decisions.
  • Account: A unique user account created for you to access and use our Service.
  • Country: Refers to the United States of America.
  • Company (“the Company”, “We”, “Us”, or “Our”): Metro Mobility USA LLC, with a principal address at 159 Liberty Ave, Mineola, NY 11501.
  • Device: Any electronic device (e.g., smartphone, tablet, computer) capable of accessing the Service.
  • Feedback: Any comments, suggestions, ideas, or innovations you submit to us regarding the Service, products, or user experience.
  • Free Trial: A limited, no-cost access period to a Subscription, offered at our discretion when purchasing a paid Subscription.
  • Goods: Physical products (e.g., mobility scooters, accessories) offered for sale on the Service.
  • Orders: Your formal request to purchase Goods from us through the Service.
  • Promotions: Contests, sweepstakes, discounts, or limited-time offers made available through the Service.
  • Service: Refers to the functionality, features, and content of our Website.
  • Subscriptions: Recurring services or access to premium content offered on a periodic basis (e.g., monthly, annual).
  • Terms and Conditions (“Terms”): This complete agreement between you and the Company, governing your use of the Service.
  • Third-party Social Media Service: Any third-party platform (e.g., Facebook, Instagram) or content that is displayed, linked to, or accessible from the Service.

  • You: The individual, business, or entity accessing, browsing, or using the Service, or placing an Order for Goods.

2. Acknowledgment

  • These Terms constitute the entire agreement between you and the Company, replacing any prior oral or written agreements related to the Service.
  • Your use of the Service is also subject to our Privacy Policy. Please review it carefully before using the Service—by accessing the Service, you consent to the practices outlined in the Privacy Policy.

3. Placing Orders for Goods

3.1 Eligibility to Order

By placing an Order, you warrant that:
  • You are at least 18 years old (or the legal age of majority in your jurisdiction);
  • You have the legal capacity to enter into a binding contract;
  • You are purchasing Goods for personal or legitimate business use (not for resale, unless explicitly authorized by us).

3.2 Required Information

To process your Order, you may need to provide accurate, complete, and up-to-date information, including:
  • Full legal name;
  • Valid email address and phone number;
  • Complete billing and shipping addresses (within the United States);
  • Payment method details (e.g., credit card number, expiration date).
You confirm that:
  • You are the authorized user of the payment method provided;
  • All information you submit is true, accurate, and not misleading;
  • You authorize the Company to share necessary payment data with third-party payment processors (e.g., PayPal, credit card issuers) to process your Order.

3.3 Order Cancellation by Us

We reserve the right to refuse or cancel your Order at any time, without liability, if:
  • The requested Goods are out of stock or unavailable;
  • There is an error in product pricing, description, or imagery on the Website;
  • We identify errors or inconsistencies in your Order details (e.g., incorrect shipping address);
  • We suspect fraudulent activity, unauthorized use of a payment method, or violation of these Terms.
If your Order is canceled after payment is processed, we will issue a full refund to your original payment method within 5–7 business days.

3.4 Your Order Cancellation & Return Rights

  • Goods may only be returned in accordance with these Terms and our Returns Policy (available on the Website).
  • To qualify for a return, items must be unused, in their original packaging (with all tags, manuals, and accessories intact), and returned within 30 days of delivery (unless specified otherwise in the Returns Policy).
  • Refunds for eligible returns will be issued to your original payment method within 14 business days of us receiving and inspecting the returned item.
  • Certain Goods are non-refundable, including:
    • Customized or made-to-order products;
    • Perishable items (if applicable);
    • Unsealed hygiene products (e.g., protective gear, cushions);
    • Digital content (if applicable).

4. Availability, Errors & Inaccuracies

We strive to ensure product details (e.g., descriptions, specifications, pricing) and availability are accurate. However, the Company does not warrant that:
  • All product information is error-free, complete, or up-to-date;
  • Pricing or availability will remain unchanged after you view the Website.
We reserve the right to correct errors, update information, or adjust pricing at any time without prior notice. If a pricing error is identified after your Order is placed, we will contact you to confirm whether you wish to proceed with the corrected price or cancel the Order.

5. Payments

  • Accepted payment methods include Visa, MasterCard, American Express, and PayPal.
  • Payment authorization is required before your Order is processed. You consent to our third-party payment processors verifying your payment method and holding funds until the Order is shipped.
  • The Company is not responsible for delays in Order processing or delivery caused by failed payment authorization (e.g., insufficient funds, expired card, bank decline). If your payment is declined, we will notify you to provide an alternative payment method.

6. Subscriptions

6.1 Subscription Period

Subscriptions are recurring and will automatically renew on the schedule selected at purchase (e.g., daily, weekly, monthly, annual). The renewal date will be the same as the original purchase date (or the first day of the next billing cycle, if applicable).

6.2 Cancellation

You may cancel your Subscription at any time:
  • Through your Account dashboard on the Website; or
  • By contacting our customer support team (see Section 18: Contact Us).
Cancellations take effect at the end of the current billing period—no refunds will be issued for the remaining days of the active period. You will retain access to the Subscription until the cancellation becomes effective.

6.3 Fee Changes

We may modify Subscription fees at any time. We will provide at least 30 days’ written notice of fee changes (via email to the address associated with your Account or a notification on the Website). If you continue using the Subscription after the fee change takes effect, you agree to the new pricing.

6.4 Refunds for Subscriptions

Subscription fees are non-refundable, except:
  • If required by applicable law; or
  • If we terminate your Subscription without cause (in which case a pro-rated refund for the unused portion of the billing period will be issued).

6.5 Free Trials

Free Trials may require you to provide payment details to activate. Unless you cancel the Subscription before the Free Trial ends, you will be automatically charged the applicable subscription fee at the start of the first billing period.

7. Promotions

Promotions are subject to additional terms and conditions, which will be clearly stated when the Promotion is announced (e.g., on the Website, via email). If there is a conflict between Promotion terms and these Terms, the Promotion terms will prevail for the duration of the Promotion.
We reserve the right to modify, suspend, or terminate Promotions at any time without prior notice, and to disqualify participants who violate Promotion terms or these Terms.

8. User Accounts

  • You are responsible for maintaining the security of your Account login credentials (e.g., username, password). Do not share your credentials with third parties.
  • You must notify us immediately if you suspect unauthorized access to your Account (e.g., unknown login activity, changes to personal information). The Company is not liable for losses or damages caused by your failure to secure your Account.
  • Usernames and Account content must not be:
    • Unlawful, defamatory, harassing, or offensive;
    • Infringing of third-party intellectual property rights (e.g., trademarks, copyrights);
    • Misleading (e.g., impersonating another person or entity).
We reserve the right to suspend or terminate Accounts that violate these requirements.

9. Intellectual Property

All content on the Service—including text, logos, trademarks, images, product designs, software, and branding—is owned by the Company or its licensors and protected by U.S. copyright, trademark, and intellectual property laws.
You may not:
  • Copy, reproduce, modify, distribute, or republish any content from the Service without our prior written permission;
  • Use our trademarks (e.g., “Metro Mobility”) or logos in any way that implies affiliation with or endorsement by the Company, unless authorized;
  • Sell, license, or exploit any content from the Service for commercial purposes.

10. Feedback

By submitting Feedback to us, you grant the Company a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to:
  • Use, reproduce, modify, adapt, and distribute the Feedback;
  • Incorporate the Feedback into the Service, products, or future developments;
  • Share the Feedback with third parties (e.g., contractors, partners) to implement improvements.
You represent that you own all rights to the Feedback and that the Feedback does not infringe on any third-party intellectual property or privacy rights.

The Service may include links to third-party websites (e.g., manufacturer sites, shipping carriers). These links are provided for convenience only—we do not control, endorse, or assume responsibility for:
  • The content, privacy policies, or practices of third-party sites;
  • Any damages, losses, or harm resulting from your use of third-party sites.

12. Termination

We may suspend or terminate your access to the Service, Account, or Orders immediately, without prior notice or liability, if:
  • You violate any provision of these Terms or our Privacy Policy;
  • We suspect fraudulent or illegal activity associated with your Account;
  • You fail to pay outstanding amounts (e.g., unpaid subscription fees, Order balances);
  • We discontinue the Service or a specific feature (in which case we will provide reasonable notice and issue refunds where applicable).
Upon termination, your right to use the Service will cease immediately. Sections 9 (Intellectual Property), 10 (Feedback), 14 (Limitation of Liability), 15 (“AS IS” Disclaimer), 16 (Governing Law), 17 (Dispute Resolution), and 19 (Severability and Waiver) will survive termination.

13. Limitation of Liability

To the maximum extent permitted by applicable U.S. law:
  • The Company’s total liability to you for any claim arising from or related to the Service, Goods, or these Terms will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100.
  • The Company will not be liable for any indirect, incidental, consequential, special, or punitive damages, including (but not limited to) loss of profits, loss of data, or loss of business opportunities, even if we were advised of the possibility of such damages.
This limitation does not apply to damages caused by our gross negligence, willful misconduct, or violations of applicable law (e.g., consumer protection laws).

14. “AS IS” and “AS AVAILABLE” Disclaimer

The Service and all Goods are provided “AS IS” and “AS AVAILABLE” without any warranties of any kind, express or implied. The Company disclaims all warranties, including:
  • Warranties of merchantability, fitness for a particular purpose, or non-infringement;
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses;
  • Warranties that product descriptions or images will match the actual Goods received.
Your use of the Service and purchase of Goods is at your sole risk.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States of America, excluding its conflict-of-law principles.

16. Dispute Resolution

Before initiating any legal action, you agree to attempt to resolve disputes informally by contacting our customer support team (see Section 18: Contact Us) within 30 days of the dispute arising. We will work in good faith to address your concerns.
If the dispute cannot be resolved informally, any legal action must be filed in the state or federal courts located in Nassau County, New York, and you consent to the personal jurisdiction of these courts.

17. United States Legal Compliance

You confirm that:
  • You are not located in a country or region subject to a U.S. government embargo or economic sanctions;
  • You are not listed on any U.S. government prohibited party list (e.g., the Specially Designated Nationals List, Foreign Sanctions Evaders List);
  • Your use of the Service and purchase of Goods complies with all applicable U.S. federal, state, and local laws.

18. Severability and Waiver

  • If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to reflect the parties’ original intent (or deleted if modification is not possible), and the remaining provisions will remain in full force and effect.
  • Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision, nor does it affect our ability to enforce it in the future.

19. Translation Interpretation

If these Terms are translated into any language other than English, the English version will prevail in the event of any conflict or discrepancy between the translated version and the English version.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in law, business practices, or Service features. When we make material changes:
  • We will post the revised Terms on the Website (with the “Last Updated” date modified);
  • We will notify you via email (to the address associated with your Account) or a pop-up notification on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel any active Subscriptions.
